What Is a Registered Agent, and Does Your LLC Need One?

A registered agent is the person or company an LLC names to receive legal papers and official mail on its behalf, at a street address in the state where the LLC was formed. Every US state requires one. For a founder who lives abroad it is one of the first practical questions after choosing a state, because the agent has to be reachable in that state even when you are not.

What a registered agent does

The agent is the LLC's formal point of contact with the state and with anyone suing it. Its job is narrow and important:

  • accept service of process, meaning the court papers that start a lawsuit
  • receive official correspondence from the state, such as annual-report reminders and notices
  • pass those documents to you promptly, so deadlines are not missed

What the law requires

  • the agent must have a physical street address in the state of formation; a P.O. box does not qualify
  • the agent must be available at that address during normal business hours
  • the agent can be an individual who lives in the state or a company that offers the service
  • the agent must agree to act; the LLC names it in its formation documents

Can you be your own registered agent?

Only if you are a resident of that state with a physical address there and you are available during business hours. A founder who lives abroad cannot meet that, which is why non-resident owners almost always use a registered agent service.

What happens without one

If the LLC has no agent, or the agent's address is out of date, the state can administratively dissolve the LLC or mark it as not in good standing. Worse, court papers can be delivered to an address nobody checks, and a lawsuit can proceed against the LLC without you knowing. Keeping the agent current is cheap compared with either outcome.

Choosing a registered agent

  • a physical address in the state where your LLC is formed
  • reliable forwarding of documents, with a way to reach a person
  • clear renewal terms, since the service is usually an annual subscription
  • an agent that is only that: an agent is not your lawyer, your accountant, or your tax filer

Changing your registered agent

You can change the agent at any time by filing a short form with the state; the new agent's consent is part of it. Do it before the old service lapses so there is never a gap.

A registered agent is a separate requirement from a business address, a mailing address, or the annual report and tax filings; those are handled separately.

Frequently Asked Questions

Is a registered agent required for every LLC?

Yes. Every US state requires an LLC to keep a registered agent in the state, and an LLC that registers to do business in another state needs one there too.

Can I use my home address abroad?

No. The agent's address must be a physical street address in the state where the LLC is formed.

Is a registered agent the same as a business address or mail forwarding?

No. The registered agent receives legal and state papers. A business address or mail-forwarding service is a separate service for ordinary mail.

Does the registered agent file my taxes or annual report?

No. The agent receives documents. Tax filings and the state annual report are separate obligations.

What if I forget to renew the registered agent?

The agent lapses, and the state can treat the LLC as not in good standing or dissolve it. Renew on time, or change the agent before the old one lapses.

Can I change my registered agent later?

Yes. File a change with the state and make sure the new agent has accepted the role before the old service ends.
