Delaware LLC Explained: How It Works and When to Choose It
Delaware is the most familiar name in US business law. This page explains what a Delaware LLC actually is, what it costs to keep in good standing, where its reputation comes from, and when a founder living outside the US is better served by another state. It is general information, not legal or tax advice.
Start Formation in United States →What a Delaware LLC is
A Delaware LLC is a limited liability company formed under the Delaware Limited Liability Company Act. Like an LLC in any state, it is a separate legal entity: its owners, called members, are generally not personally liable for its debts, provided the company is run as a separate business.
You do not have to live in Delaware, or in the United States, to own one. The company does need a registered agent with a physical address in Delaware.
Why Delaware has the reputation it has
- The Delaware LLC Act gives owners wide freedom to set their own rules in the operating agreement
- Disputes between owners are heard by the Court of Chancery, a court that handles business matters and has no jury
- Decades of published decisions mean lawyers and investors can predict how a question will be answered
- Many investors and lawyers already know the framework, which shortens the conversation when you raise money
What it costs to keep it in good standing
A Delaware LLC pays a flat annual tax to the state and files no annual report. The amount and the due date are set by Delaware and can change, so confirm the current figure on the state's website before you budget.
The registered agent is a separate yearly cost. Missing the annual tax leads to penalties and, if it continues, to the LLC losing good standing.
Privacy
Delaware does not require the names of members or managers in the certificate of formation. The registered agent and the person who files appear on the public record, and other filings you make, such as a bank application, will ask who owns the company.
Privacy from the public is not privacy from the tax authorities: the IRS still expects the beneficial owner to be identified in the filings that apply to you.
Taxes for an owner outside the US
For federal purposes, a single-member LLC owned by a non-US person is generally treated as disregarded. That does not remove obligations: a foreign-owned single-member LLC usually has to file Form 5472 with a pro forma Form 1120 each year, even when it had no income. The penalty for missing it is set by the IRS and is significant.
Whether the LLC owes US tax depends on where its income comes from and whether it carries on business in the US. Your own country may also tax the profits. Speak to a tax adviser who knows both.
When Delaware is not the natural choice
- A small online business run from abroad, where the lowest recurring cost matters most, often fits a cheaper state
- A business with staff or an office in another state may have to register there too, which adds a second set of fees
- If you never expect outside investment, the legal track record helps you less

Frequently Asked Questions
Do I need to live in Delaware to form a Delaware LLC?
No. Members can live anywhere. The LLC needs a registered agent with a physical address in Delaware.
Does a Delaware LLC file an annual report?
No. It pays a flat annual tax instead. The amount and due date are set by the state, so confirm them before you budget.
Are the owners' names public in Delaware?
The certificate of formation does not have to list members or managers. Banks and tax filings will still ask who owns the company.
Is Delaware better than Wyoming?
Neither is better for everyone. Delaware is stronger on legal track record and investor familiarity, Wyoming is usually cheaper to maintain. Our comparison guide sets out the trade-offs.
Does a Delaware LLC give me a visa or residency?
No. Owning a US LLC does not by itself give the right to live or work in the United States.
Do I still have US filings if the LLC earned nothing?
A foreign-owned single-member LLC usually still files Form 5472 with a pro forma Form 1120. Confirm your situation with a tax adviser.
