US LLC vs UK Ltd: Which Fits a Founder Living Abroad?

Founders who live outside the US and the UK often narrow the choice to two structures: a US LLC and a UK private limited company (Ltd). They limit liability in a similar way but are taxed, filed and seen very differently. This guide compares them so you can decide with your adviser. It is general information, not legal or tax advice.

The short answer

There is no structure that is better for everyone. A US LLC is often chosen by online businesses selling to US customers or platforms. A UK Ltd is often chosen by businesses selling in the UK and Europe, or those that want a company that is formally UK-based. The place your customers, suppliers and payment providers are matters more than the label.

What they have in common

  • Owners are generally not personally liable for the company's debts when it is run as a separate business
  • Both can be formed remotely and owned by people who live in another country
  • Both must keep company money and records separate from yours
  • Both have filing duties every year that continue even when the business earns nothing

How each is taxed

A single-member US LLC owned by a non-US person is generally disregarded for federal purposes, so the LLC itself may owe little or no US income tax when it has no US-source income. It still has reporting duties such as Form 5472. Your own country may tax the profits directly.

A UK Ltd is a company in its own right and is generally UK tax resident because it is incorporated there. It pays UK corporation tax on its profits and may need to register for VAT above the threshold. Dividends paid to you may then be taxed in your home country.

Which is cheaper overall depends on where you live and where the income comes from, so take advice on both sides.

Public records and privacy

  • A UK Ltd's directors, registered office and persons with significant control appear on the public Companies House register
  • A UK Ltd files annual accounts and a confirmation statement, and the accounts are public
  • A US LLC's formation filing usually names the registered agent, and state annual filings vary by state
  • Directors and people with significant control of a UK company must now verify their identity with Companies House
  • Neither structure is anonymous to banks and tax authorities

Directors and addresses

A UK Ltd needs at least one director who is a natural person and a registered office address in the UK, which can be provided by a service. A US LLC does not have directors by default but needs a registered agent with an address in the state of formation.

Both can be run by someone living abroad.

Banks, payments and credibility

Some payment providers and marketplaces look for a company registered in a particular country, and customers in the UK or Europe often trust a UK company more readily, just as US customers may prefer a US one.

Whether a bank or provider accepts a company is its own decision, and no formation service can promise an account.

Questions that decide it

  • Where are most of your customers and payment providers?
  • How does your home country tax each structure?
  • Are you comfortable with public accounts and public officer details?
  • How much annual administration will you keep up?

Frequently Asked Questions

Which is cheaper to keep, a US LLC or a UK Ltd?

It depends on the state you choose and on your tax position. A UK Ltd files public accounts and a confirmation statement every year, and a US LLC has its own state filings. Compare current fees.

Are the owners' details public?

For a UK Ltd, directors and people with significant control appear on the public register. For a US LLC it depends on the state, and banks and tax authorities ask for owners either way.

Can I run a UK Ltd from outside the UK?

Yes. A director can live abroad, but the company needs a registered office address in the UK.

Does a US LLC owned from abroad pay US tax?

It depends on the source of its income and on whether it carries on business in the US. It usually still files Form 5472 with a pro forma Form 1120.

Does a company give me a visa or residency?

No. Owning a company in either country does not by itself give the right to live or work there.

Can I get a bank account for either?

You can apply. Each bank or provider decides, and a formation service cannot promise one.
